Premier Organic Farms and U.S. Power Systems Announce Merger

DALLAS, TX. June 20, 2006 /PRNewswire-FirstCall via COMTEX/ -- U.S. Power Systems, Inc. (UPWY), announced today that a stock exchange agreement between Premier Organic Farms Corporation ("Premier") and UPWY took place on June 7, 2006, in which U.S. Power acquired 100% of Premier's common stock in exchange for stock and other considerations in U.S. Power Systems, Inc.

On June 8, 2006, U.S. Power Systems, Inc. underwent a name change to Premier Organic Farms Group, Inc. (OTC Pink Sheets: POFG).

The company raises domestic fresh organic tilapia fish, organic butter/boston lettuce, and organic herbs for U.S. markets.

Premier will grow hydroponic organic butter/boston lettuce through an ecologically efficient program in conjunction with the tilapia aquaculture program utilizing fish water which contains effluent to fertilize and water the lettuce.

Tilapia fish has gained in popularity between 2000 and 2005. Tilapia sales increased by 226%, and moved from the tenth most popular to the fourth most popular fish in the United States. Premier will be able to produce a superior farm-raised organic tilapia to supply the ever expanding organic market.

In 2005, tilapia sales in the U.S. were $1.17 billion, or approximately 625 million pounds. By the year 2010, U.S. tilapia sales are expected to reach $10 billion. The popularity of tilapia is expected to continue increasing significantly according to the USDA Environmental Research Service.
